These Terms of Service ("Terms") govern your access to and use of the ORBTL Digital website, systems, and services. By accessing our site or engaging our agency, you agree to be bound by these Terms. If you do not agree, please do not use our services.
ORBTL Digital provides bespoke business digitalization services, including custom web presence architecture, data-driven consulting, agentic AI systems, and hyper-automation infrastructure. The specific scope, deliverables, timelines, and fees for any project will be defined in a mutually agreed-upon Statement of Work (SOW) or formal proposal.
Building high-performance systems requires collaboration. You agree to provide timely access to necessary platforms, software, credentials, and feedback required for us to execute the build. Delays in providing assets, feedback, or approvals may result in corresponding delays to project timelines. We are not liable for project bottlenecks caused by a failure to provide requested resources.
Our payment structures reflect the high-ticket, intensive nature of our engineering sprints. Specific payment schedules will be detailed in your SOW. Generally, work does not commence until the initial deposit is received. Failure to make milestone payments may result in an immediate pause of all development and system deployments.
Your Assets: You retain all ownership rights to your pre-existing data, branding, and proprietary business logic.
Final Deliverables: Upon receipt of full and final payment, you are granted a worldwide, non-exclusive, perpetual license to use the final systems and code we deploy for your business.
ORBTL Infrastructure: We retain all intellectual property rights to our underlying proprietary frameworks, codebase libraries, AI prompt architectures, and methodologies used to construct your system. We do not build "work for hire" infrastructure that restricts our ability to use our foundational code for other clients.
Our systems heavily rely on third-party platforms, SaaS tools, and APIs (e.g., GoHighLevel, OpenAI, Stripe). While we build deterministic integrations, we do not control these third-party environments. We are not liable for system disruptions, data loss, or required rebuilds caused by third-party API deprecations, platform outages, or changes to their terms of service.
To the maximum extent permitted by law, ORBTL Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from your use of our systems. In no event shall our total liability exceed the total amount paid by you to us under the specific SOW giving rise to the claim.
We build robust, scalable systems to specification. However, we provide our services "as is" and "as available," without warranties of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. We do not guarantee specific financial results, lead volume, or revenue metrics.
These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Victoria, Australia.
